    Transaction Readiness Review

    Prepare before the offer.

A structured legal readiness assessment for an anticipated acquisition, sale, merger, affiliation, combination, or asset transfer.

    Discuss transaction readiness

Identify cleanup work before diligence sets the timetable.

We examine selected governance, ownership, contract, and organizational records from the perspective of a prospective transaction. The aim is to surface approval, consent, rights, and documentation issues while leadership still has time to address them deliberately.

You receive a prioritized readiness assessment and recommended next steps. Remediation and transaction representation are separately scoped; the review is designed to inform preparation, not imply that every deal issue has been resolved.

    What we handle

    • Review entity, governance, ownership, and approval records.
    • Triage material contracts for assignment, consent, change-control, termination, and exclusivity issues.
    • Assess intellectual property, data, policy, dispute, and organizational records.
    • Identify cleanup work and a decision path for transaction approvals.

    Useful documents

Have these handy if available. You can contact us before gathering them.

    • Organizational chart and governing documents
    • Ownership, member, or capitalization records
    • Material contracts and intellectual property records
    • Policies, licenses, registrations, and known disputes

    Let’s discuss what you need.

Start with a brief description of the issue and any deadline. We will respond within one business day to discuss the right next step.
