    Limitation of Liability

    A limitation of liability clause sets boundaries on the types or amounts of damages one party may recover from the other under a contract.

    Why it matters

    The clause is a central part of risk allocation. The cap, excluded damages, exceptions, and relationship to indemnification should be read together. Small wording changes can materially alter which claims are capped and which remain outside the limit.
