    What Should Be Included in a Board Orientation?

    A legal board orientation should cover fiduciary duties, governing documents, authority, delegation, conflicts, meetings, records, and the board-management boundary.

    A board orientation should prepare directors to govern the actual organization, not simply describe its mission and programs. Directors need a shared legal foundation for authority, duties, decisions, conflicts, and records.

    Fiduciary duties

    Explain the duties that apply, what information directors should request, how they exercise judgment, and how conflicts or competing interests are handled. Examples should connect the legal standard to decisions the board is likely to face.

    Governing documents and authority

    Directors should understand the articles, bylaws, key policies, committee charters, and any member rights. The orientation should identify which decisions belong to the board, officers, committees, management, or members.

    Board and management

    Clarify the difference between governance and operations. Directors should know how the board oversees the chief executive, how authority is delegated, and when management must return for approval.

    Meetings and records

    Cover notice, quorum, voting, recusals, executive sessions, minutes, resolutions, written action, and the process for raising legal questions. A director should leave knowing how decisions are made and how the organization proves what it did.

    Use orientation to find gaps

    Questions from directors can reveal outdated bylaws, unclear charters, informal delegations, missing conflict procedures, or executive arrangements that need attention. Capture those items and assign follow-up responsibility.
