Master Services Agreement
A master services agreement, or MSA, is the contract that establishes the general legal terms governing an ongoing customer-provider relationship.
Why it matters
An MSA creates the durable framework for issues such as payment, intellectual property, confidentiality, warranties, liability, indemnification, term, and termination. Statements of work and order forms can then define individual projects or purchases without renegotiating the entire legal framework each time.
